Digital Course License Agreement

This Digital Course License Agreement ("Agreement") is entered into by and between Make Money With Kel, a [Your Jurisdiction] corporation ("Licensor"), and the individual or entity purchasing the digital course ("Licensee").

1. Grant of License:

Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a non-exclusive, non-transferable license to access, use, and view the digital course(s) ("Course") for personal or internal business purposes only. This license does not grant the right to sublicense, sell, or distribute the Course.

2. Ownership and Intellectual Property:

Licensor retains all rights, title, and interest in and to the Course, including all copyrights, trademarks, and other intellectual property rights. This Agreement does not convey any ownership rights to Licensee.

3. Restrictions:

Licensee agrees not to:

a. Copy, reproduce, or distribute the Course in any manner not expressly authorized by this Agreement.

b. Modify, adapt, translate, reverse engineer, decompile, or disassemble the Course.

c. Remove, alter, or obscure any copyright, trademark, or proprietary notices in the Course.

4. Payment and Refund:

Licensee agrees to pay the specified purchase price for the Course. Refund terms, if any, are detailed in the applicable refund policy provided by Licensor.

5. Disclaimer of Warranty:

The Course is provided "as is" without any warranty of any kind, either expressed or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of Liability:

To the maximum extent permitted by law, Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

7. Term and Termination:

This Agreement is effective upon payment for the Course and will continue until terminated. Licensor reserves the right to terminate this Agreement immediately if Licensee breaches any terms herein.

8. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of New York State. Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of New York State Law.

9. Entire Agreement:

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral, relating to the subject matter hereof.
